1. About Yori

Yori is developing a platform designed to help people discover recipes, connect with food creators, organize meals, create grocery lists, and simplify the process of shopping for ingredients.

Yori is currently in development. Features, functionality, integrations, availability, pricing, launch timing, and other aspects of the Yori platform may change before or after launch.

Information presented on our pre-launch website is intended to describe our current plans and vision and should not be interpreted as a guarantee that any particular feature, integration, partnership, or service will be offered.

2. Eligibility

You may use this website only if you are legally capable of entering into a binding agreement under applicable law.

If you submit information on behalf of a company, organization, creator business, or other entity, you represent that you have authority to do so.

3. Waitlist and Early Access

You may have the opportunity to join the Yori waitlist or request information about early access.

Joining the waitlist does not guarantee:

• Access to Yori
• Access by a particular date
• Participation in a beta or early-access program
• Creator status
• Eligibility for any promotion or program
• Access to any particular feature or functionality

We may determine the timing, availability, eligibility, and scope of early access in our discretion.

4. Acceptable Use

You agree not to misuse the website or interfere with its operation.

You may not:

• Attempt to gain unauthorized access to the website, servers, databases, accounts, or related systems
• Introduce viruses, malicious code, automated attacks, or other harmful technologies
• Scrape, crawl, harvest, or systematically extract website content or data without our written permission
• Use automated systems to submit forms, create artificial traffic, or otherwise interfere with the website
• Impersonate another person or entity
• Submit false, misleading, unlawful, fraudulent, threatening, or abusive material
• Use the website in violation of applicable law

We may restrict or terminate access to the website if we reasonably believe these Terms have been violated.

The Yori website and its contents, including Yori's name, logos, trademarks, branding, visual identity, designs, graphics, text, software, interfaces, concepts, organization, and other materials created by or for Yori, are owned by Yori or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by us, you may not copy, reproduce, distribute, modify, publish, display, sell, license, create derivative works from, or commercially exploit Yori's proprietary content.

Nothing in these Terms grants you ownership of or a license to use Yori's trademarks, logos, trade dress, or other brand elements without our prior written permission.

6. Information and Materials You Submit

If you contact Yori or submit information through our website, you represent that you have the right to provide that information and that doing so does not violate the rights of another person or entity.

You retain ownership of materials you submit to us.

However, if you voluntarily submit suggestions, ideas, feedback, concepts, feature requests, or other feedback regarding Yori or our products ("Feedback"), you grant Yori the right to use that Feedback without restriction or obligation to compensate you.

This provision does not transfer ownership of recipes, photographs, videos, or other creator content merely because a creator contacts Yori or expresses interest in the platform.

7. Creator, Partner, Advertising, and Other Inquiries

Our website may allow creators, brands, advertisers, potential partners, job applicants, members of the press, and others to contact Yori.

Submitting an inquiry does not create a partnership, employment relationship, agency relationship, sponsorship, endorsement, contractual relationship, or other business relationship with Yori.

Any such relationship will be subject to separate terms or agreements when applicable.

8. Third-Party Services and Links

The website may contain links to third-party websites, social media platforms, or services.

Yori does not control and is not responsible for third-party websites, content, products, services, availability, security, or privacy practices.

The inclusion of a third-party link does not necessarily imply endorsement, sponsorship, partnership, or affiliation with that third party.

Your use of third-party services is subject to the applicable third party's own terms and policies.

9. No Guarantee of Future Features or Partnerships

Yori may describe planned features, integrations, partnerships, creator opportunities, grocery-shopping functionality, promotions, or other future services.

These descriptions are informational and may change.

Unless expressly stated otherwise in a separate written agreement, Yori does not guarantee the availability of any particular feature, retailer, grocery provider, creator program, partnership, promotion, revenue opportunity, or integration.

10. Website Information

We work to provide useful and accurate information, but we do not guarantee that all information on the website will always be complete, accurate, current, or error-free.

The website and its content are provided primarily for informational and pre-launch purposes.

11. Food, Recipe, Nutrition, and Allergy Disclaimer

Information relating to recipes, ingredients, cooking, food preparation, nutrition, or similar subjects that may appear on Yori's website is provided for general informational purposes.

Yori does not provide medical, dietary, or nutritional advice.

Individuals are responsible for determining whether ingredients and recipes are appropriate for themselves or their households, including with respect to allergies, dietary restrictions, food sensitivities, medical conditions, and food-safety considerations.

Users should independently verify ingredient labels, allergen information, preparation instructions, and other relevant information when appropriate.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND RELATED PRE-LAUNCH SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

YORI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ALL TIMES.

Some jurisdictions may not permit certain warranty exclusions, so portions of this section may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YORI AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, YORI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE PRE-LAUNCH WEBSITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID YORI FOR USE OF THE WEBSITE DURING THE SIX MONTHS PRECEDING THE CLAIM OR (B) $100.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Yori and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful misuse of the website, your violation of these Terms, or your infringement of another person's rights.

15. Changes to the Website or Terms

Yori is an evolving product, and we may modify, suspend, discontinue, or introduce website features and services at any time.

We may also update these Terms periodically.

When we update these Terms, we will revise the "Last Updated" date above. Your continued use of the website after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.

16. Termination

We may suspend or terminate access to the website when reasonably necessary to protect Yori, our users, our systems, or third parties, or when we believe these Terms have been materially violated.

Sections that by their nature should survive termination will remain in effect.

17. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or the website will be brought in a state or federal court of competent jurisdiction located in Georgia, and you consent to the jurisdiction of those courts.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other terms expressly presented to you in connection with a particular Yori service, constitute the agreement between you and Yori regarding your use of the pre-launch website.
